Terms of Service
These Terms govern access to and use of software, mobile applications, web applications, websites and related digital services provided or licensed by Emeccsys Build (“Emeccsys”, “we”, “us” or “our”).
1. Acceptance of these Terms
By creating an account, purchasing a subscription, accessing or using an Emeccsys product or service, you agree to these Terms and to any product-specific terms presented to you. If you use a service on behalf of an organisation, you confirm that you have authority to act for that organisation in relation to the service.
If you do not agree to these Terms, you should not access or use the relevant service. Mandatory rights granted by applicable law are not excluded by these Terms.
2. Services covered
These Terms are intended to apply across Emeccsys software and digital services unless a particular product displays separate or additional terms. Certain products may have specialised features, data practices, licences, support commitments or usage requirements. Where product-specific terms conflict with these general Terms, the product-specific terms apply to that product to the extent of the conflict.
3. Accounts and authorised users
- You must provide accurate account and subscription information.
- You are responsible for keeping account credentials secure and for activity carried out through your account.
- Business customers are responsible for managing their authorised users, roles and permissions.
- You should promptly notify us if you suspect unauthorised access or misuse.
- Access may be restricted where reasonably necessary to protect users, systems, data or the integrity of a service.
4. Subscriptions, fees and billing
Some Emeccsys services are free, freemium, subscription-based, usage-based, or sold under a separate commercial agreement. Prices, billing cycles, capacity limits, taxes and included features are shown before purchase or stated in the applicable quotation or agreement.
Unless otherwise stated, a paid subscription begins when payment is successfully completed and continues for the selected billing period. Where automatic renewal is offered and selected, the subscription may renew for additional periods until cancelled in accordance with the checkout terms, applicable product settings and mandatory law.
5. Acceptable use
You may not use an Emeccsys service to:
- break applicable law or infringe another person’s rights;
- attempt unauthorised access to accounts, systems, networks or data;
- introduce malware, harmful code, abusive traffic or deliberate service disruption;
- circumvent licensing, subscription, security, capacity or access controls;
- reverse engineer or decompile software except where applicable law expressly permits it;
- facilitate fraud, impersonation or deceptive activity; or
- resell, sublicense or commercially exploit a service unless Emeccsys has authorised it in writing.
6. Customer data and lawful use
Where an organisation uses an Emeccsys product to collect or manage information about its staff, customers or other individuals, that organisation is responsible for having the authority and lawful basis required to provide or process that information through the service. Emeccsys processes personal information as described in our Privacy Policy and any applicable customer agreement.
7. Intellectual property
Emeccsys and its licensors retain all rights in the software, source code, designs, trademarks, documentation, interfaces and other materials provided as part of the services, except for customer-owned data and materials. A subscription or purchase grants only the rights of use expressly associated with the relevant product or licence.
8. Updates and changes
We may update products to improve security, reliability, compatibility or functionality. We may also modify or discontinue features where reasonably necessary. For material changes that significantly affect paid use, we will provide notice where required by law or contract.
9. Third-party services
Products may integrate with third-party services, platforms, devices, app stores, maps, payment providers or APIs. Those third parties may apply their own terms and privacy policies. Emeccsys is not responsible for third-party services outside our control, but this does not limit any responsibility that cannot lawfully be excluded.
10. Suspension and termination
You may stop using a service at any time, subject to subscription and refund rules. We may suspend or terminate access for material breach, non-payment, fraud, unlawful use, serious security risk, or where required by law. Where reasonably practicable, we will provide notice and an opportunity to remedy the issue.
11. Service availability, warranties and liability
We aim to provide reliable services but do not promise that every service will be uninterrupted, error-free or compatible with every device, operating system or third-party service. To the extent permitted by law, services are provided on an “as available” basis.
Nothing in these Terms excludes or limits liability or consumer rights where doing so would be unlawful. Subject to that limitation and any separate written agreement, Emeccsys will not be liable for indirect, incidental or consequential losses arising solely from use of a service where such exclusion is permitted by applicable law.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana, except where mandatory consumer law in another applicable jurisdiction gives you rights that cannot be displaced by this choice of law. We encourage customers to contact us first so complaints can be investigated and resolved promptly.
13. Changes to these Terms
We may update these Terms when our services, business practices or legal obligations change. The revised version will be posted on this page with a new “Last updated” date. Where required, we will give additional notice of material changes.
